To Our Shareholders

In 2019, Corning fulfilled its commitment to you, our shareholders, as we marked the successful completion of our Strategy and Capital Allocation Framework. Over the last four years, we delivered strong shareholder returns while building you a stronger, more resilient company. The path wasn’t always smooth. But this is Corning – we do what we say we’re going to do. Challenges arise, and when they do, we’re honest about the problems, straightforward in our analyses, and resolute in our actions to stay on track. Read full letter to shareholders.

2020 Annual Meeting

Corning’s Annual Meeting of Shareholders will be held on Thursday, April 30, 2020 at 11 a.m. Eastern Time at The Corning Museum of Glass Auditorium, One Museum Way, Corning, New York 14830. You may vote at our 2020 Annual Meeting if you were a shareholder of record at the close of business on
March 2, 2020.

Your vote is very important. If you do not vote your shares on Proposal 1 (Election of Directors) and Proposal 2 (Approval of executive compensation – “Say on Pay”), your brokerage firm cannot vote them for you and your shares will remain unvoted. Therefore, it is very important that you vote your shares.

Please promptly submit your proxy or voting instructions by clicking here, by toll-free telephone at 1-800-690-6903 or by signing the proxy card you received in the mail and returning it to us. You may also vote in person (subject to the circumstances described below). To attend the meeting, you will need to register upon arrival. We may check for your name on our shareholders’ list and ask you to produce valid photo ID. If your shares are held in street name by your broker or bank, you should bring your most recent brokerage account statement or other evidence of your share ownership. If we cannot verify that you own Corning shares, it is possible that you will not be admitted to the meeting.

Important Information Regarding Meeting Attendance and Location (Coronavirus Safety Measures)

We intend to hold our annual meeting in person. However, we are sensitive to the public health and travel concerns our shareholders may have and recommendations that public health officials may issue in light of the evolving coronavirus (COVID-19) situation. As a result, we may impose additional procedures or limitations on meeting attendees (beyond those described above or in the proxy) or may decide to hold the meeting in a different location or solely by means of remote communication (i.e., a virtual-only meeting). Any such updates will be made on our Investor Relations website and here on this page. We encourage you to check this website prior to the meeting if you plan to attend.
